These Terms of Service ("Terms") govern your access to and use of the website located at snatchndash.com (the "Site") and the AI-powered vending machine placement program (the "Program") operated by Snatch N' Dash ("Snatch N' Dash", "we", "us", or "our"). These Terms constitute a legally binding agreement under the laws of Ontario, Canada, including the Electronic Commerce Act, 2000, S.O. 2000, c. 17, and the Consumer Protection Act, 2002, S.O. 2002, c. 30, Sched. A.
Please read these Terms carefully before using the Site or applying to the Program. By accessing the Site or submitting an application, you agree to be bound by these Terms. If you do not agree, do not use the Site or apply to the Program.
1. Eligibility and Acceptance
You must be at least 18 years of age and legally authorized to enter into contracts in Ontario or your applicable jurisdiction to use the Site or apply to the Program. If you are applying on behalf of a corporation, partnership, or other legal entity, you represent that you have authority to bind that entity to these Terms.
By clicking "Check My Eligibility," submitting any form, or otherwise using the Site, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
2. Description of Services
Snatch N' Dash offers qualified commercial property owners and business operators the opportunity to host AI-enabled smart vending machines at their locations under a revenue-share model at no upfront cost to the host partner. Services include:
- Assessment of location eligibility for the Program;
- Supply, installation, and ongoing maintenance of Snatch N' Dash AI vending machines;
- Stocking and inventory management of products sold through the machines;
- Payment of a monthly revenue share to qualified location partners pursuant to a separate written Revenue Share Agreement;
- Access to a real-time performance dashboard (where available).
The specific terms of any vending machine placement, including revenue share percentage, machine specifications, and operational requirements, will be set out in a separate written Revenue Share Agreement executed by both parties. In the event of any conflict between these Terms and a Revenue Share Agreement, the Revenue Share Agreement shall govern with respect to the specific placement.
3. Program Eligibility
Submission of an eligibility application does not guarantee acceptance into the Program. Snatch N' Dash reserves the right, in its sole and absolute discretion, to approve or decline any application. Factors considered include but are not limited to: daily foot traffic volume, property type, location demographics, available space, and power access. Snatch N' Dash may withdraw an approved placement if site conditions materially change.
4. No Upfront Cost — Scope and Limitations
The "no upfront cost" offer means Snatch N' Dash will supply, install, and maintain the machine(s) and stock inventory at no capital cost to the host partner. The following are not included and remain the host partner's responsibility unless otherwise agreed in writing:
- Provision of a suitable, accessible location with adequate floor space and proximity to a standard electrical outlet;
- Reasonable utilities (electricity) consumed by the machine during operation;
- Basic site security measures reasonably expected of the host's premises.
5. Host Partner Obligations
As a host partner in the Program, you agree to:
- Provide clear, unobstructed access to the machine location during normal business hours and, where applicable, 24/7 consumer access;
- Promptly notify Snatch N' Dash of any damage, vandalism, or malfunction of the machine;
- Not tamper with, alter, relocate, or attempt to service the machine without prior written consent from Snatch N' Dash;
- Maintain adequate premises liability insurance for your property;
- Comply with all applicable municipal, provincial, and federal laws, regulations, and by-laws relating to the operation of your premises;
- Not permit any actions that would damage the Snatch N' Dash brand, equipment, or product integrity.
6. Snatch N' Dash Obligations
Snatch N' Dash agrees to:
- Install, operate, maintain, and service the machine(s) at no cost to the host partner;
- Stock the machine with quality products and manage inventory proactively;
- Pay the agreed revenue share on a monthly basis in accordance with the Revenue Share Agreement;
- Remove the machine within a reasonable period (not to exceed 30 days) upon termination of the Revenue Share Agreement;
- Maintain appropriate commercial general liability insurance for the machine and its operation.
7. Intellectual Property
All content on the Site — including text, graphics, logos, photographs, software, and the overall design — is owned by or licensed to Snatch N' Dash and is protected by Canadian copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of any Site content without our prior written consent.
Snatch N' Dash, the Snatch N' Dash logo, and all related marks are trademarks of Snatch N' Dash. Other product and company names mentioned on the Site may be trademarks of their respective owners.
8. Acceptable Use
You agree not to use the Site to:
- Violate any applicable law or regulation;
- Submit false, misleading, or fraudulent information;
- Attempt to gain unauthorized access to any portion of the Site or any related systems;
- Transmit any harmful code, malware, or disruptive data;
- Engage in any activity that could damage, disable, or impair the Site or Snatch N' Dash's infrastructure;
- Scrape, harvest, or collect data from the Site by automated means without written permission.
9. Disclaimer of Warranties
THE SITE AND ANY INFORMATION PROVIDED THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF CONTENT. SNATCHNDASH DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Nothing in these Terms excludes or limits any warranty or right you may have under applicable consumer protection legislation that cannot be lawfully excluded or limited, including under the Consumer Protection Act, 2002 (Ontario).
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE ONTARIO LAW, SNATCHNDASH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR THE PROGRAM, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF SNATCHNDASH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SNATCHNDASH'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL REVENUE SHARE PAID TO YOU BY SNATCHNDASH IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00).
Nothing in these Terms limits Snatch N' Dash's liability for death, personal injury, or fraud caused by Snatch N' Dash's negligence or willful misconduct, or any other liability that cannot be excluded or limited under Ontario law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Snatch N' Dash and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Site in violation of these Terms; (b) your breach of any representation or obligation under these Terms or a Revenue Share Agreement; or (c) your negligence or willful misconduct.
12. Termination
Snatch N' Dash may suspend or terminate your access to the Site at any time, with or without cause, and without liability. Termination of a specific vending machine placement is governed by the applicable Revenue Share Agreement.
Sections 7, 9, 10, 11, 13, and 14 of these Terms shall survive any termination.
13. Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to the Site or Program shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You irrevocably submit to the exclusive jurisdiction of the courts of Ontario, Canada for the resolution of any dispute arising out of these Terms.
14. Dispute Resolution
Before commencing legal proceedings, the parties agree to attempt in good faith to resolve any dispute informally by contacting Snatch N' Dash at [email protected] with a written description of the dispute. If the dispute is not resolved within 30 days of such notice, either party may pursue their legal remedies.
Nothing in this section prevents either party from seeking urgent interlocutory relief from a court of competent jurisdiction.
15. Changes to These Terms
We may update these Terms at any time by posting the revised version on the Site with an updated "Last updated" date. Material changes will be highlighted on the Site's homepage for at least 30 days. Your continued use of the Site after such notice constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site.
16. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy and any applicable Revenue Share Agreement, constitute the entire agreement between you and Snatch N' Dash with respect to the Site and Program and supersede all prior or contemporaneous communications, whether written or oral.
